Introduction and Acceptance of Terms
Welcome to KeedPay! These Terms and Conditions ("Terms") govern your access to and use of the KeedPay mobile application and services (collectively, the "Service" or "KeedPay"), provided by Keed Ghana LTD ("Keed", "we", "us", or "our"). By downloading, installing, or using the KeedPay app, or by clicking "I Agree" to these Terms (when that option is made available to you), you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the KeedPay service.
About KeedPay: KeedPay is a prepaid electronic account service (not a traditional bank account or general wallet) licensed and regulated in Ghana. Keed Ghana Limited is licensed by the Bank of Ghana as a Payment Service Provider (Enhanced), which authorizes us to provide electronic payment services under the Payment Systems and Services Act, 2019. KeedPay allows eligible users to receive funds (often disbursed by third-party businesses we refer to as "Merchants"), store those funds in a secure electronic account, and use the funds for permitted transactions such as personal withdrawals and payments to supported services or billers. The Service is offered only within Ghana, and by using it you agree that the laws of Ghana govern all aspects of these Terms and your use of KeedPay.
Please also review our Privacy Policy (available via the app or website) to understand how we collect, use, and protect your personal information. By using the KeedPay service, you acknowledge that your personal data shall be collected and processed in accordance with the terms of the Privacy Policy. You shall be required to provide separate and explicit consent to the Privacy Policy during the onboarding process prior to the collection or processing of any personal data.
Definitions
For clarity in these Terms, here are some key definitions:
- "Account": The KeedPay electronic stored-value account opened in your name when you register for the Service. This account is associated with your phone number and holds the funds you receive or top-up, subject to the limitations herein.
- "Disbursement": A payment initiated by a Merchant to a User through KeedPay. For example, a company might disburse a refund, loan, wage, or lottery winning to a User's phone number via the KeedPay system.
- "KeedPay" or "Service": The mobile app and related services provided by Keed Ghana LTD that allow Users to receive, hold, and use electronic funds as described in these Terms.
- "Merchant": A business or corporate client of Keed that uses our separate merchant platform or API to disburse funds to users (for example, to pay customers, beneficiaries, or prize winners). Merchants have their own agreement with us and are generally not considered end-users of the KeedPay mobile app. However, their activities (like sending money to Users) interact with your Account as described in these Terms.
- "Permitted Payments": Payments you initiate from your Account to purchase or pay for services. Examples include purchasing airtime or data, paying utility bills (like ECG electricity or Ghana Water), paying TV subscriptions (like DSTV), buying authorized digital tickets or lottery products, or other bill payments we support. These are the only types of outgoing transactions allowed from your Account (since person-to-person transfers are not enabled under our Service).
- "Top-Up": Adding money to your KeedPay Account. Currently, this can be done by transferring from your own mobile money wallet (and in the future possibly via bank transfer or other funding methods we may enable).
- "User" or "you": The individual person using the KeedPay app and Service. In these Terms, it refers to you, the end-user who has registered an account (or is in the process of registering) on KeedPay.
- "Withdrawal": Moving money out of your KeedPay Account to your own linked account. Presently, this typically means withdrawing to your personal mobile money account associated with your phone number provided during registration.
Eligibility and Account Registration
To use KeedPay, you must meet the following eligibility criteria and complete the registration process:
- Legal Age and Capacity: You must be at least 18 years old and legally capable of entering into contracts. By accepting these Terms, you affirm that you are 18 or older. (KeedPay is not offered to minors. If you are under 18, do not attempt to register or use the Service.)
- Ghana Residency and Identification: The Service is only available to individuals who are residents of Ghana and who have valid identification recognized by Ghanaian authorities. During registration, you will be required to verify your identity through our KYC (Know Your Customer) process. This process integrates with the National Identification Authority (NIA) or other government data sources to confirm your identity (e.g., via your Ghana Card or other national ID). You agree to provide accurate personal information and consent to our verification of that information. If we cannot verify your identity or if any information you provide is found false or belongs to someone else, we may refuse to open an account or may close/suspend your Account.
- Phone Number: You need a valid Ghanaian mobile phone number to register (this becomes your primary Account identifier). We will verify this number by sending a one-time code via SMS which you must enter in the app. You must have the phone in your possession. You are responsible for maintaining the security of your SIM card/phone number. If you change or deactivate your phone number, you must update your Account information promptly to prevent someone else from potentially inheriting your phone number and accessing your account.
- One Account Per User: Each person is generally allowed only one Account tied to their identity and phone number. Creating multiple accounts for the same individual is not permitted without our explicit approval. This is to comply with KYC regulations and ensure security. Do not attempt to create an account using someone else's identity or information.
- Acceptance of Terms and Privacy Policy: During signup, you will be shown (or given access to) these Terms and our Privacy Policy. You must agree to them to proceed. If you have any questions or do not agree, do not continue the registration. Usage of the Service implies acceptance of the rules and responsibilities outlined.
- Account Security: When your Account is created, you will either set a secure PIN/password or use another authentication method we provide (such as biometric login via your device). You are responsible for keeping your login credentials confidential. Do not share your PIN or verification codes with anyone. We will never call or SMS you asking for your PIN or One-Time Password (OTP). In the event someone does, assume it's fraudulent and do not disclose your details. You agree to notify us immediately (through our support channels) if you suspect any unauthorized access to your Account or any breach of security (e.g., lost/stolen phone or SIM swap). You agree to cooperate with us in any investigation and to follow our instructions for securing your Account.
Services and Permissible Transactions
KeedPay provides a platform for you to receive, hold, and use electronic funds within the confines of our license and these Terms. Below are details on what you can and cannot do with your KeedPay Account:
- Receiving Funds (Disbursements): Your Account may be credited when a Merchant (one of our corporate clients) disburses funds to you. For example, you might receive money because you are a customer of or participant in that Merchant's program (such as a refund, a loan payout, a prize or winnings, a dividend, etc.). You may also receive funds if another authorized entity loads money into your Account as part of a promotion or reward. In all cases, the incoming transaction will typically have a reference indicating the source (e.g., Merchant name or reason). By using KeedPay, you acknowledge that any funds received from a Merchant are typically the result of your relationship or transaction with that Merchant, and Keed is not liable for the underlying obligation – we simply facilitate the payment. If you have issues or disputes about why or how much a Merchant should have paid you, you need to resolve that with the Merchant, though we will of course ensure the payment delivery through our system was proper.
- Top-Up (Adding Money): You have the option to load additional money into your KeedPay account for your own use. The primary method for Top-Up is via your personal mobile money account (such as MTN MoMo, Vodafone Cash, Airteltigo Money, etc.). In the app, you can initiate a Top-Up request, which will prompt you to approve a mobile money deduction from your wallet into your Account. You must be the owner of the mobile money account used – we only allow Top-Ups from accounts in your name or that are linked to your phone number profile, to prevent fraud and comply with regulations. In future, we may enable other Top-Up methods (like bank transfer or card payments), but similar ownership restrictions and possibly additional KYC checks will apply. When you Top Up, your Account balance will increase accordingly. Fees, if any, for Top-Ups (e.g., mobile money charges or Keed service fee) will be disclosed at the time of transaction.
- Withdrawals: You may withdraw funds from your Account balance to your own external account, primarily your mobile money wallet. Withdrawals will typically be initiated in the app, and we will send the requested amount to the mobile money number that is linked to your Account. (In many cases, this is the same phone number you registered with. If we allow Withdrawal to a bank in the future, it will likely be to a bank account in your name.) You cannot withdraw funds from your Account to a third-party's account – Withdrawals are restricted to accounts belonging to you (same name/ID) to prevent unlicensed money transfer activity. We may impose limits on Withdrawal amounts per transaction/day as required by law or our risk policies. You are responsible for any mobile money cash-out fees or government levies that might apply to moving money into or out of your mobile money wallet. We will disclose any fees we charge for Withdrawals, if applicable, before you confirm the transaction.
- Payments and Purchases: KeedPay allows you to use your stored funds to pay for certain goods and services directly from the app. These Permitted Payments may include:
- Airtime/Data Purchases: You can recharge your own mobile phone airtime or data bundles using your Account balance.
- Utility Bills: You may pay bills such as electricity (e.g., ECG), water (Ghana Water), or other utility services we integrate into the app.
- Television/Subscription Services: For instance, you could pay your DSTV or other TV subscriptions via KeedPay if available.
- Lottery Tickets or Gaming (if offered): We might enable purchasing of digital lottery tickets or receiving lottery winnings payout via KeedPay. Note that any gaming or lottery-related services will only be offered in compliance with the law and you must be of legal age and accept any specific terms for those services.
- Other Digital Services: From time to time, we may add more payment options like buying event tickets, paying school fees, or e-commerce purchases via partners. We will notify you within the app of new services as they become available.
- No Peer-to-Peer Transfers: Important: Under our license, KeedPay is not a general peer-to-peer wallet. This means you cannot transfer funds from your Account to another person's Account or any third party who is not an approved biller or your own linked account. The app will not have a feature to send money to another User or any arbitrary mobile number (aside from the specific disbursement flows initiated by Merchants or withdrawals to self). Any attempt to circumvent this (for example, by trying to use the bill payment feature to indirectly send money to someone else) may result in transaction rejection or Account suspension. KeedPay is designed for receiving funds from businesses and using them for personal expenditures as listed, not for personal remittances or informal money transfer between private individuals.
- Transaction Limits: For security and compliance, we may impose limits on transactions. These can include maximum balance limits, daily or monthly transaction caps, or limits per transaction for top-ups, withdrawals, and payments. Such limits may be set by regulations (for instance, Bank of Ghana may set tiered KYC-based limits) or by our own risk management. We will make you aware of these limits in-app or on our website (for example, a prompt if you try to transact beyond a limit). We reserve the right to change limits in line with regulatory allowance and our policies; significant changes will be communicated. If you require higher limits and are eligible (e.g., by providing additional KYC information), we will guide you on how to upgrade your account if applicable.
- Fees and Charges: Using KeedPay may involve certain fees, which will be transparently displayed. For example, there might be a small fee for certain bill payments or a commission built into airtime purchases (or you might even get discounts/promotions at times). If we implement account maintenance fees or other charges, we will notify you clearly. Government taxes or levies that are applicable by law will be applied and shown in transaction confirmations. By using the Service, you agree to pay any applicable fees for transactions you initiate. We will not retroactively charge fees without notice – any fee changes will be prospective and communicated per regulations.
Funds received into your Account are maintained as electronic money (e-money) value. Keed holds an equivalent amount of funds in a safeguarded account (trust account) with a regulated financial institution as required by Bank of Ghana regulations. Your balance does not earn interest (interest on pooled accounts, if any, is handled according to local regulations, often for financial inclusion or charity, not for individual account holders). The funds in your Account are not a deposit with a bank, and they are not insured by deposit insurance. However, we are required to safeguard them and not use them for any other purposes. You remain the beneficial owner of the funds you have stored with us.
User Responsibilities and Acceptable Use
By using KeedPay, you agree to use the Service responsibly and solely for lawful, intended purposes. You are responsible for all activities that occur under your Account. Specifically, you agree that you will NOT:
- Provide False Information: You will not use false identity information, impersonate any person, or misrepresent your affiliation for the purpose of opening or using an Account. All information you provide to us (during registration, KYC, or any Account updates) must be truthful, accurate, and up-to-date. You also agree not to refuse or neglect providing information that we reasonably require for verification or compliance purposes.
- Use Others' Accounts or Allow Others to Use Yours: You will not attempt to access another User's Account or data. Similarly, you should not allow any other person to use your Account – your Account is personal to you. Do not share your PIN or give someone else access to the app while logged in as you. If you breach this and someone else uses your account, you will be responsible for their actions in the account.
- Engage in Prohibited Transactions: You will not use KeedPay for any illegal or prohibited activities. This includes, but is not limited to: money laundering, terrorism financing, fraud, gambling transactions that are not legally authorized, the purchase of prohibited goods/services, or the payment for any activity that is illegal under Ghanaian law. While we enable lottery and gaming-related payments only in regulated contexts (like official lottery tickets or winnings through authorized partners), you may not use the app to gamble with unapproved operators. You also agree not to use the Service to attempt to evade taxes or currency controls, or for any other purpose that a reasonable person would deem improper or against public policy.
- Circumvent Restrictions: You will not try to hack, modify, or circumvent any of the restrictions or security measures in the app. For example, you must not attempt to reverse-engineer the app, exploit vulnerabilities, or use bots/scripts to automate unauthorized actions on KeedPay. Additionally, do not use the Service in a manner to disguise the origin of funds or break up transactions to avoid reporting thresholds (structured transactions). We monitor and report suspicious patterns.
- Infringe on Others' Rights: You will not use KeedPay in a way that infringes on any third party's rights or privacy. For instance, you must not upload or distribute content through the app that is defamatory, harassing, invasive of privacy, or infringes intellectual property rights of others. (While KeedPay is primarily a transaction app, if any feature allows sending descriptions or notes, ensure your messages are respectful and lawful.)
- Interfere with the Service: You will not do anything that could disable, overburden, or impair the proper working of KeedPay (such as a denial-of-service attack or spamming our support channels with frivolous requests). Also, do not introduce any malware or viruses into the app or our systems. We employ security measures, but we expect Users to refrain from malicious conduct.
- Resell or Commercialize the Service: Your Account is for your personal use only. You agree not to resell, rent, or lease your account or any portion of the Service to other people. For instance, you cannot offer to accept money from others into your Account (which would effectively make you an unlicensed money remitter). Merchants/corporates have their separate platform – you should not attempt to use the KeedPay app for business disbursement purposes or any usage that would classify as agent or Merchant activity, unless explicitly authorized by us in writing.
You are responsible for providing the mobile device, data connectivity, and any other equipment or software necessary to use KeedPay. We grant you a personal, non-transferable, revocable license to use our mobile application solely for accessing the Service in accordance with these Terms. You should keep your app updated to the latest version to ensure security and access to features. Sometimes, using an outdated app may restrict functionality or pose security risks. We may require you to update the app (or even your device OS version if it's too outdated to support security protocols) as a condition of continuing use.
If we detect any violation of the above responsibilities or suspect that your Account is involved in prohibited or suspicious activities, we reserve the right to take appropriate action, which may include declining certain transactions, suspending or terminating your Account, and reporting to relevant authorities as required by law. You may also be liable for damages or losses arising from your violation of these rules (see Indemnification below).
Compliance, Monitoring and Suspension
Given the regulated nature of our services, Keed must ensure strict compliance with laws and has systems to monitor accounts and transactions. By using KeedPay, you acknowledge and agree to the following:
- KYC and Ongoing Due Diligence: We may require additional verification or documents from you at any time, especially if your transaction patterns change or if required by law (e.g., if your cumulative transactions reach a threshold that requires enhanced due diligence). You agree to comply with any such requests promptly. This could include providing a selfie or a photo of your ID, proof of address, or information on the source of funds if relevant. We understand your privacy, and we will only ask what is necessary for compliance. Failure to provide requested due diligence information may result in restrictions on your account.
- Transaction Monitoring: All transactions through KeedPay are subject to automated and manual reviews for suspicious activity. We use algorithms and rules (as well as compliance officer oversight) to detect potential fraud, money laundering signals, or other concerns. If a transaction is flagged, it might be delayed or put on hold while we investigate. We reserve the right to decline or reverse transactions that violate these Terms or pose security concerns. This is to protect both you and us (for example, preventing someone from fraudulently using your account).
- Freezing or Suspension of Account: In certain cases, we might temporarily freeze or suspend your Account. Reasons may include:
- Detection of unauthorized access or suspicion that your Account is compromised. (In this case, suspension protects your funds until you secure your Account.)
- Consistent failed login attempts or other indications of someone trying to breach your Account.
- Failure to comply with a request for updated KYC information and we can no longer satisfy regulatory requirements.
- Evidence of fraudulent or illegal transactions on your Account, or your usage is in breach of these Terms.
- Receipt of a legal order or directive from law enforcement or a regulator to suspend the Account (for instance, if your Account is under investigation).
- Termination by Us: We reserve the right to terminate your Account in accordance with notice and in accordance with any applicable law. We might do this if: (a) you seriously or repeatedly violate these Terms; (b) we are instructed by regulators to cease providing services to you; or (c) we decide to discontinue the Service entirely. In most cases of termination (other than illicit conduct), we will give you notice and a chance to withdraw your remaining balance (if any) before closing your Account. If we terminate due to misconduct or illegal use, we may be limited in what we can communicate (due to legal confidentiality) and any remaining funds may be subject to legal process (for example, frozen by authorities).
- Closing Your Account (by You): You have the right to stop using KeedPay and request Account closure at any time. If you wish to close your Account, you should withdraw any remaining balance to your mobile money or bank (subject to any applicable fees). Then contact us to request closure. We will guide you through the process, which might include identity verification to ensure it's you requesting. Keep in mind, even after closure, certain data will be retained by us as per the Privacy Policy (for lawful purposes), but your Account will no longer be active or accessible by you.
Keed is committed to operating in compliance with Ghanaian laws, including the Anti-Money Laundering Act, Anti-Terrorism Act, and any guidelines from the Bank of Ghana. As a User, you also have a responsibility to use the Service legally. We appreciate your understanding that these measures (monitoring, occasional questioning of transactions, etc.) are in place to protect the integrity of the platform and all its Users.
Intellectual Property and App License
KeedPay and all materials related to it (including but not limited to the software, logos, trademarks, text, graphics, images, and content in the app or on our website) are owned by or licensed to Keed Ghana LTD, and are protected by intellectual property laws.
- License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the KeedPay mobile application on your personal device(s) solely for the purpose of using the Service as provided in these Terms. You may also access any web features or downloadable materials we provide for personal use in connection with the Service. This license does not give you any ownership of the app or related intellectual property – it's a permission for use that can be revoked if you breach these Terms.
- Restrictions: You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any part of KeedPay's application or content, except as enabled by the app's interface or expressly permitted by us in writing. You must not reverse engineer or attempt to extract the source code of the software, under any circumstances, except with our prior written consent. If you want to use any of our brand assets (like logos) for a legitimate reason (for example, a blog post), you must obtain our prior consent. Keed, KeedPay, and associated logos or slogans are trademarks of Keed Ghana LTD or its affiliates. Unauthorized use of these is prohibited.
- User Content: If any feature of our Service allows you to input or upload content (for example, adding a profile picture, or sending messages to a Merchant through the app), you retain ownership of that content. However, you grant Keed a worldwide, royalty-free, sub-licensable license to use, copy, modify, and display such content solely for the purpose of providing the Service to you (for example, storing your profile image to show it when you log in). We reserve the right to remove any content you upload if it violates any laws or these Terms.
- Feedback: We welcome feedback and suggestions to improve KeedPay. If you provide us with any feedback, ideas, or suggestions ("Feedback"), you agree that we can use it without any restriction or compensation to you. You hereby grant us a perpetual, sublicensable license to use and incorporate any Feedback into KeedPay or our other products/services.
Third-Party Services and Links
In using KeedPay, you may encounter links or integrations to third-party services. For example, when you pay a utility bill, our app may connect to the utility company's system; or if we have an in-app web view for a particular service, it might display content from a third party. It's important to note:
- Third-Party Websites/Apps: Our app or website might contain links to external websites or services that are not operated by us (for instance, a link to a Merchant's website, or to our social media pages, etc.). Clicking those is optional, but if you do, understand that we have no control over the content or practices of those third-party sites. These Terms and our Privacy Policy do not apply to external sites. We encourage you to read the terms and privacy policies of any third-party site you visit. Keed is not responsible for the availability, accuracy, or content of third-party services, and using those is at your own risk.
- Third-Party Products/Services Paid Through KeedPay: When you use KeedPay to pay for a product or service offered by a third party (for example, buying airtime from a telecom operator, or a ticket from an event organizer), the third party is responsible for delivering and supporting their product/service. Keed's role is just to transmit your payment. We do not guarantee and are not liable for the quality, safety, legality, or delivery of the goods or services that you pay for via our app. Any disputes or issues with what you purchased need to be resolved between you and the provider of that good/service. We will, however, provide transaction details or reasonable assistance to help you prove payment was made, etc., as part of our customer service.
- Integrations (e.g., NIA or Mobile Money): Parts of the Service rely on third-party systems (such as the National ID database or mobile money networks). While we strive to maintain excellent uptime and functionality, we cannot guarantee those external systems will always be available or error-free. There may be times where, due to issues with a third-party service, certain KeedPay features are temporarily unavailable (for example, if the NIA verification service is down, new User onboarding might be delayed; or if a mobile money network is having downtime, top-ups or withdrawals might fail or be delayed). We will do our best to notify you of such situations and resolve them, but we can't be held liable for failures attributable to these external factors.
- No Endorsement: Just because KeedPay supports payment to a particular Merchant or service doesn't mean we endorse or guarantee them. Each third-party service has its own terms and we are not accountable for their actions. Use your own judgment when engaging with any third party.
Disclaimers and Limitation of Liability
While we strive to provide a reliable and secure service, there are certain limitations and disclaimers you should be aware of:
- Service "As Is": KeedPay is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service's fitness for a particular purpose, uninterrupted availability, or error-free operation. While we endeavor to keep the Service running smoothly, we do not guarantee that the app will always be available or free from defects. We will try to fix issues promptly, but we are not liable for any damage caused by service interruptions or bugs beyond what the law requires.
- Limitation of Liability: To the fullest extent permitted by law, Keed Ghana LTD and its officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use (or inability to use) KeedPay. This includes, for example, damages from system failures, unauthorized access to your account by hackers, errors in transactions, or actions of third parties (like a merchant failing to deliver goods you paid for). Our total liability to you for any claim arising from the Service will not exceed the amount of fees you paid to us (if any) in the 12 months preceding the claim or a reasonable amount as determined under applicable law. This limitation applies to the extent permitted by Ghanaian law; it does not exclude liability for fraud, gross negligence, or other matters that by law cannot be limited.
- Force Majeure: We will not be liable for any delay or failure to perform our obligations if such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor disputes, government actions, power outages, or failures of telecommunication or Internet services. In such cases, we will make reasonable efforts to resume service as soon as practicable.
Indemnification
You agree to indemnify, defend, and hold harmless Keed Ghana LTD, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any law or the rights of any third party; (c) your use of the Service in an unauthorized or fraudulent manner; or (d) any content you submit or actions you take via KeedPay. This indemnification will survive the termination of your Account and these Terms.
Changes to Terms
We may revise these Terms from time to time to reflect changes in the law, our services, or our business practices. When we make changes, we will update the "Last Updated" date at the top of this document and, for significant changes, we will provide notice through the app (for example, a pop-up notification) or via email/SMS. Your continued use of KeedPay after a change becomes effective constitutes your acceptance of the revised Terms. If you do not agree with any changes, you should stop using the Service and close your Account. We encourage you to periodically review this page for any updates.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising out of or relating to these Terms or the Service will be resolved in the courts of Ghana, and you consent to the exclusive jurisdiction of those courts. However, we encourage you to first contact our customer support to try to resolve any issue informally. Many concerns can be addressed quickly through communication.
Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Keed Ghana LTD regarding your use of KeedPay. They supersede any prior agreements or understandings (whether written or oral) regarding the subject matter herein.
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of a breach will not constitute a waiver of any subsequent breach.
- Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may assign our rights and obligations to an affiliate or successor in interest (for example, in case of a merger or sale of business) without your consent, but we will notify you of such assignment.
